1. Agreement to Terms

By accessing or using the Ziyo platform, APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service. Ziyo operates as a micro-settlement infrastructure and loyalty distribution engine.

2. Account Registration and Roles

Ziyo provides separate portal access based on your role (Brand or Consumer). You are responsible for safeguarding your authentication credentials. Brands using our platform must ensure they have sufficient legal rights to distribute rewards to their end-consumers.

3. High-Fidelity Ledger & Settlement

Ziyo maintains a high-fidelity internal ledger. We provide the infrastructure to record and authorize micro-payouts. Actual financial settlement is executed directly by the Brand to the Consumer via supported third-party gateways (e.g., UPI). Ziyo is not a bank, payment aggregator, or money transmitter. We are the software layer that guarantees transaction idempotency and tracks payout states.

4. Code Generation and Fraud

Brands are responsible for the physical or digital distribution of Ziyo-generated codes. Ziyo guarantees the cryptographic uniqueness of generated codes and implements strict rate-limiting to prevent brute-force attacks. However, Ziyo is not liable for codes that are stolen prior to distribution.

5. API Usage

If you integrate with our Headless Loyalty API, you must adhere to our rate limits and security guidelines. Abuse of the API will result in immediate suspension of the associated Brand account.

6. Limitation of Liability

In no event shall Ziyo, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
